5.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• No refunds will be provided for partial billing periods
• You will retain access to the Service until your subscription expires

5.4 Market Data Subscriber Classification and Certification

Certain portions of the Service include access to real-time or delayed financial market data sourced from third-party exchanges and data providers. Access to such data is subject to exchange rules requiring classification of users as either Professional Subscribers or Non-Professional Subscribers.

(a) Definitions

For purposes of these Terms:

• "Non-Professional Subscriber" means a user who:
  • Uses the Service solely for personal investment or educational purposes;
  • Is not registered or qualified with the SEC, CFTC, FINRA, any securities exchange, or any regulatory authority;
  • Is not employed by, contracted with, or acting on behalf of a financial institution, investment advisor, broker-dealer, hedge fund, proprietary trading firm, or similar entity; and
  • Does not use the Service in connection with managing, advising, or trading on behalf of others or any business entity.
• "Professional Subscriber" means any user who does not meet all criteria for a Non-Professional Subscriber, including but not limited to users who:
  • Are registered with or regulated by a financial authority;
  • Are employed by or affiliated with a financial institution;
  • Use the Service for business, commercial, advisory, or professional purposes; or
  • Redistribute, integrate, or make available market data to any third party.

(b) Required Self-Certification

As a condition of access to market data, you are required to complete a subscriber classification and certification process and to self-identify as either a Professional Subscriber or Non-Professional Subscriber. You represent and warrant that all information provided during this process is accurate, complete, and not misleading.

(c) Ongoing Accuracy and Re-Certification

You agree to promptly notify Whale Flow Hunter of any change in circumstances that would affect your subscriber classification. We may require periodic re-certification of your status to comply with exchange and data provider requirements.

(d) Reclassification and Retroactive Fees

Whale Flow Hunter reserves the right, in its sole discretion, to reclassify your subscriber status if we reasonably determine that your certification was inaccurate or has become inaccurate. You acknowledge that such reclassification may result in:

• Suspension or termination of access;
• Retroactive assessment of applicable professional subscriber fees; and
• Pass-through of any fees, penalties, or costs imposed by exchanges or data providers as a result of misclassification.

(e) Audit Rights

You acknowledge that Whale Flow Hunter and its data providers may audit subscriber classifications to ensure compliance with applicable exchange rules. You agree to cooperate with any such audit and to provide reasonable documentation upon request.

(f) No Liability for Exchange-Imposed Fees

You agree that Whale Flow Hunter shall not be liable for any fees, penalties, or charges imposed by third-party exchanges or data providers arising from your misrepresentation, misuse, or improper classification of market data access.

6. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Share, resell, or redistribute our data or content without authorization
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated systems (bots, scrapers) to access or collect data from our Service
• Interfere with or disrupt the integrity or performance of the Service
• Impersonate any person or entity or misrepresent your affiliation
• Upload or transmit viruses, malware, or other malicious code
• Harass, abuse, or harm other users
• Use our data to manipulate markets or engage in fraudulent trading activities

7. Intellectual Property

7.1 Our Content

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, data, software, and design, are owned by Whale Flow Hunter and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHALE FLOW HUNTER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Trading losses or investment decisions based on our Service
• Any damages arising from your use or inability to use the Service

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Whale Flow Hunter and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

12. Termination

• Provisions that by their nature should survive termination will survive

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and the decision of the arbitrator shall be final and binding.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
